Token Sale Terms

1. Nature of the Token
$EMRGN is a Solana SPL token functioning as a meme token within a community ecosystem. It is not represented as an investment product, security, or regulated financial instrument. Legal classification depends on facts, structure, and jurisdiction.
2. No Offer of Securities
These terms and the presale do not constitute an offer to sell securities in any jurisdiction. If $EMRGN is deemed to be a security in your jurisdiction, you may not participate.
3. Contribution Mechanics
Contributions are accepted in SOL (via Solana presale program) or ETH (via Ethereum contribution contract). ETH contributors must provide a verified Solana destination wallet. Min/max limits and rates are illustrative and subject to final approval.
4. No Guarantees
No guarantees are made regarding: token value, price appreciation, exchange listings, market capitalization, liquidity, or any return on contribution. You can lose all contributed value.
5. Claiming
Tokens are claimable on Solana after the Token Generation Event (TGE) using Merkle-proof verification. Duplicate claims are prevented on-chain. TGE timing is not guaranteed.
6. Vesting
Public presale tokens have no vesting unless explicitly disclosed. Core contributor and treasury allocations vest over 36 months (12-month cliff + 24-month linear).
7. Eligibility & Restrictions
Contributors must not be located in restricted jurisdictions (see /restricted-jurisdictions) or be sanctioned persons/entities. Contributors must accept the risk disclosure and these terms before participating.
8. AML/KYC
AML/KYC and sanctions screening may be implemented based on legal counsel recommendations. Contributions may be rejected or refunded if screening requirements are not met.
9. Refunds
Contributions are generally non-refundable. Refund scenarios, if any, will be specified by counsel in the final version. Contract pause may trigger review of contributions.
10. Tax
You are responsible for any tax liabilities arising from participation. The project does not provide tax advice. Consult a qualified tax professional.
11. Changes
Sale parameters may change before deployment. Material changes are logged in the transparency center. Final parameters require owner and counsel approval.
12. Risk Acknowledgment
By participating, you acknowledge that you have read and understood the risk disclosure (/risk-disclosure) and accept all risks associated with cryptocurrency participation.
